Terms & Conditions of Sale
These terms apply to every quote, order and shipment from Ziqual, and to your use of ziqual.com.
Effective October 28, 2026
1. Agreement
Ziqual, LLC (“Ziqual,” “we,” “us”) is a precision CNC machine shop in San Diego, California. These Terms & Conditions of Sale (“Terms”) apply to every quote we issue, every order we accept and all parts and services we provide to you (“Customer,” “you”).
Our quote together with these Terms is the entire agreement between us. Any different or additional terms in your purchase order, supplier portal, acknowledgment or other documents are rejected and do not apply unless an authorized Ziqual representative agrees to them in a signed writing. Placing an order, sending files for production or accepting delivery means you accept these Terms.
2. Quotes and pricing
Quotes are free and valid for 30 days unless the quote says otherwise. Prices are based on the files, drawings, quantities, materials, finishes and lead time stated in the quote. If any of these change — including revised files, added requirements or material cost increases before the order is placed — we may revise the price and lead time.
Prices do not include shipping, insurance, taxes, duties or tariffs, which are added to your invoice unless the quote states otherwise.
3. Orders
An order is binding when we accept it in writing (for example, by email or order confirmation). We may decline any order. Your order must reference our quote number and the drawing and revision we quoted.
4. Payment
Unless we have approved you for credit in writing, payment is due in full before production begins. Approved credit accounts are due net 30 days from the invoice date. Late balances accrue interest at 1.5% per month, or the highest rate allowed by law if lower. You agree to pay our reasonable costs of collection, including attorneys’ fees.
We may hold production or shipment of any order while you have an overdue balance. Title to the parts stays with Ziqual until we are paid in full, and you grant us a security interest in the parts until then.
5. Your specifications and design
You are solely responsible for your designs, drawings, models, specifications, material and finish choices, and for whether the parts are suitable for your intended use. We make parts to the specifications you provide; we do not review or approve your design for fit, form, function, strength, safety or regulatory compliance, even if we suggest changes for manufacturability.
If your files and drawings conflict, the drawing controls. Dimensions without a stated tolerance are made to our standard shop tolerances. Unless the quote specifies otherwise, cosmetic marks such as tool marks, minor scratches and machining lines are acceptable.
Inspection is performed using our standard practices. First-article inspection, full dimensional reports, certifications of conformance, material certifications or other documentation are provided only when stated in the quote.
6. Your files, confidentiality and intellectual property
You keep ownership of your designs, files and drawings (“Your Content”). You give us permission to use, copy and share Your Content only as needed to quote, make, inspect and deliver your parts, including sharing it with a subcontractor working on your order. We keep Your Content confidential and require our subcontractors to do the same.
You confirm that you have the right to provide Your Content and that making the parts does not infringe any patent, copyright, trademark, trade secret or other right of anyone else.
Our processes, programs, fixtures, tooling and know-how remain our property, even if you pay tooling or setup charges, unless the quote states otherwise.
7. Export-controlled and regulated work
You must tell us in writing before sending any technical data or ordering any part that is subject to the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR) or other export controls. We may decline such work. You are responsible for any export classification, licenses and compliance related to your parts and data.
8. Subcontractors
We may use qualified subcontractors for any part of your order, such as Wire EDM, 3D printing, heat treatment, plating, coating or other finishing. We manage that work, and these Terms apply to it in the same way as to work done in our shop.
9. Lead times and delivery
Lead times are estimates that start when we have your accepted order, complete files and any required payment. We are not liable for any delay, and delays do not entitle you to cancel an order, refuse delivery or claim damages.
Unless the quote says otherwise, parts ship from our facility, and risk of loss passes to you when the parts are handed to the carrier. We are not responsible for carrier delays, loss or damage in transit; claims for those must be made with the carrier.
We may ship and bill up to 10% more or fewer parts than ordered to account for normal production variation, and we may make partial shipments.
International shipments. For orders shipped outside the United States, you are the Importer of Record and are solely responsible for import compliance, duties, tariffs, taxes, customs fees, documentation and accurate classification and declared values.
10. Inspection, acceptance and returns
You must inspect the parts within 7 days of delivery and tell us in writing of any nonconformance, with photos or inspection data. Parts not rejected in writing within that period are considered accepted. Do not return parts without our written return authorization. See our Refund & Return Policy for the process.
11. Limited warranty
We warrant that parts will conform to the specifications in your accepted order at the time of delivery. For nonconformances that could not reasonably have been found during inspection, you must notify us in writing within 30 days of delivery.
If parts do not conform, our only obligation — and your only remedy — is, at our option, to rework the parts, replace them, or credit or refund the price paid for the nonconforming parts.
This warranty does not cover: defects caused by your design, specifications or material choices; customer-supplied material; parts that have been modified, assembled, misused, improperly stored or installed; normal wear; or prototype or development parts identified as such in the quote.
EXCEPT FOR THE LIMITED WARRANTY ABOVE, WE PROVIDE ALL PARTS AND SERVICES “AS IS” AND DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
12. Customer-supplied material
If you supply material or parts for us to machine or finish, you are responsible for their quality and for providing enough extra to cover normal setup and scrap. We are not responsible for damage to or loss of customer-supplied material during processing, beyond the cost of our own work on it.
13. Limitation of liability
IN NO EVENT WILL ZIQUAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, PRODUCTION DOWNTIME, RECALL, ASSEMBLY, INSTALLATION OR REMOVAL COSTS, OR COSTS OF SUBSTITUTE PARTS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO AN ORDER, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PARTS GIVING RISE TO THE CLAIM.
These limits are a basic part of our pricing and apply to the fullest extent allowed by law. Any claim must be brought within one year after it arises.
14. Your responsibility for end use
You are responsible for testing, qualifying and approving the parts for your application, including any aerospace, medical, automotive, safety-critical or regulated use. You agree to defend, indemnify and hold Ziqual harmless from any claims, damages, losses and costs (including reasonable attorneys’ fees) arising from (a) your designs, specifications or Your Content, including claims of infringement; (b) the use, sale or incorporation of the parts into any product; or (c) your breach of these Terms or applicable law — except to the extent caused by our failure to make the parts to your specifications.
15. Changes and cancellations
Changes to an accepted order require our written agreement and may change price and lead time. You may cancel an order only with our written consent. If you cancel after we accept an order, you agree to pay for all work performed, material purchased, subcontractor charges and other costs incurred up to the cancellation, plus a reasonable profit. Finished or partially finished parts will be provided to you on payment.
16. Events beyond our control
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including machine breakdowns, material or supplier shortages, subcontractor delays, power outages, labor issues, fire, flood, earthquake, epidemic, government action or carrier problems.
17. Dispute resolution and governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising from or related to these Terms or any order will be resolved by binding arbitration in San Diego County, California, under the Commercial Arbitration Rules of the American Arbitration Association. You waive any right to a jury trial and to take part in a class or representative action. Either party may seek a court order to collect unpaid amounts or to protect its confidential information or intellectual property.
18. General
If any part of these Terms is found unenforceable, the rest remains in effect, and the unenforceable part will be limited to the minimum extent necessary. Our failure to enforce any provision is not a waiver. You may not assign an order without our written consent. Sections that by their nature should survive — including payment, warranty disclaimers, limitation of liability, indemnity and dispute resolution — survive delivery and the end of any order.
We may update these Terms from time to time. The version posted on this page when we accept your order applies to that order.
